Contractor Terms of Service

These terms apply exclusively to contractors who register and subscribe on the Uppatch platform. By creating a contractor account, you confirm that you have read, understood, and agreed to be bound by these terms.

1. What Uppatch Does

Uppatch is a service matching platform. As a contractor, you create a business profile, list your services, and subscribe to be discoverable by customers in your area. Matching is handled automatically by our WhatsApp chatbot — when a customer requests a service, the bot finds nearby contractors and shares only your contact details and listed services with the customer. Your exact location is never exposed.

2. Your Account & Profile

By registering as a contractor on Uppatch, you confirm that:

• All information on your profile is accurate, complete, and up to date
• You are legally permitted to offer the services you list
• You are solely responsible for the quality and delivery of your services
• You will not misrepresent your qualifications, experience, or ratings
• You will not create multiple accounts to manipulate match results or ratings

Uppatch reserves the right to suspend or permanently remove any contractor profile that violates these terms or contains false or misleading information.

3. How You Get Discovered

While your subscription is active, your profile is listed on the platform and eligible to be matched with customers near your registered location. When a match is made, customers receive only your contact number and your listed services. No other personal or location data is shared with customers.

4. Subscription & Billing

Your profile is only active and discoverable while a valid subscription is maintained. Subscriptions are billed on a recurring basis (monthly or annually) through our payment provider, Paystack. By subscribing, you authorize Uppatch to automatically charge your payment method at each renewal date. For full details on billing, cancellations, and refunds, see our Refund Policy.

5. Cancellation & Data Deletion

You may cancel your subscription at any time. Please read the following carefully before cancelling:

• Cancellation takes effect at the end of your current billing period
• Once cancelled, your subscription is not recoverable. Your business profile, listed services, ratings, scores, and all associated data will be permanently and automatically deleted — this cannot be undone
• No further charges will be made after cancellation

6. Location Data

Your location is collected during onboarding and stored securely. It is used solely for internal matching to connect you with customers in your area. Your exact location is never displayed, shared, or exposed to customers or any third party.

7. Verification

Uppatch performs basic onboarding checks before approving a contractor profile. Verification confirms your registration but does not constitute an endorsement of your services. You remain solely responsible for delivering your services to the standard expected by your customers.

8. Payments & Disputes With Customers

All payment arrangements for services rendered are made directly between you and the customer. Uppatch is not a party to any transaction between contractors and customers, does not process payments on either party's behalf, and accepts no responsibility for payment disputes, non-payment, or unsatisfactory outcomes.

9. Prohibited Conduct

As a contractor on Uppatch, you agree not to:

• Provide false, misleading, or fraudulent profile information
• Attempt to manipulate ratings, reviews, or match rankings
• Use the platform for any unlawful purpose
• Harass, threaten, or abuse customers or other platform users
• Attempt to reverse engineer or interfere with any part of the platform

10. Limitation of Liability

Uppatch provides a matching and discovery service only. To the maximum extent permitted by applicable law, Uppatch is not liable for any loss, injury, damage, or dispute arising from your interactions with customers, including non-payment, complaints, or claims relating to the quality of your services.

11. Changes to These Terms

We may update these terms from time to time. When we do, the effective date at the top of this page will be updated. Continued use of your contractor account after changes are posted constitutes acceptance of the updated terms.
